1. About These Terms
These terms and conditions govern your use of the website zelixlabs.com and the services provided by Zeta Media Pte Ltd (UEN: [your UEN]), trading as Zelix Labs ("Zelix", "we", "us", "our"), a company incorporated in Singapore. A dedicated Zelix Labs Pte Ltd entity is currently in registration; until it is incorporated and transitioned, all agreements are with Zeta Media Pte Ltd.

2. Services
Zelix provides AI-powered WhatsApp automation, CRM integration, conversation system deployment, performance marketing, and related digital services. The specific scope, deliverables, and timeline for each engagement are defined in a separate service agreement or proposal provided to the client.
3. Eligibility
Our services are intended for businesses and business owners. By engaging our services, you represent that you have the authority to enter into a binding agreement on behalf of your organisation.
4. Quotations and Pricing
- All prices displayed on the website are indicative and subject to change. Final pricing is confirmed in a written proposal or service agreement.
- Unless otherwise stated, prices are in USD and exclude applicable taxes, third-party platform subscriptions (e.g. respond.io, CRM tools), and advertising spend.
- Payment terms are specified in the individual service agreement.
5. Client Obligations
To enable us to deliver our services effectively, clients agree to:
- Provide timely access to required accounts, platforms, and assets
- Respond to requests for information, approvals, and feedback within a reasonable timeframe
- Ensure that all content and data provided to us is accurate and does not infringe any third-party rights
- Comply with the terms of service of any third-party platforms used in the engagement (e.g. WhatsApp Business, respond.io, Meta)
6. Intellectual Property
- All intellectual property created by Zelix as part of a client engagement (e.g. automation workflows, AI agent configurations, landing pages) is transferred to the client upon full payment, unless otherwise agreed in writing.
- Zelix retains the right to use anonymised case studies, performance metrics, and screenshots for portfolio and marketing purposes, unless the client opts out in writing.
- The Zelix brand, logo, and website content remain the property of Zeta Media Pte Ltd, pending transfer to Zelix Labs Pte Ltd on incorporation.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business data, customer information, pricing, and system configurations. This obligation survives the termination of any service agreement.
8. Limitation of Liability
- Zelix provides services on an "as is" basis and does not guarantee specific results, revenue outcomes, or return on investment.
- We are not liable for any loss of data, revenue, or business arising from the use of third-party platforms, API changes, or service disruptions beyond our control.
- Our total liability for any claim arising from an engagement shall not exceed the fees paid by the client for that engagement.
9. Third-Party Platforms
Our services integrate with third-party platforms including but not limited to WhatsApp Business API, respond.io, Salesforce, Shopify, Mailchimp, Klaviyo, and Google Ads. We are not responsible for changes to these platforms' terms, pricing, availability, or functionality. Clients are responsible for maintaining their own subscriptions and compliance with these platforms.
10. Termination
- Either party may terminate a service agreement with 30 days' written notice, unless otherwise specified in the agreement.
- Upon termination, the client is responsible for payment of all work completed up to the termination date.
- Zelix will provide reasonable assistance in transitioning accounts and access back to the client or their nominated party.
11. Website Use
- The content on this website is for general information purposes only and does not constitute professional advice.
- We reserve the right to modify, update, or remove any content on this website at any time without notice.
- You agree not to misuse this website, including attempting to gain unauthorised access or interfering with its operation.
12. Governing Law
These terms are governed by and construed in accordance with the laws of Singapore. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
13. Changes to These Terms
We may update these terms from time to time. The updated version will be posted on this page with a revised "last updated" date. Continued use of our website or services after any changes constitutes acceptance of the updated terms.
